FINANCIAL BENEFITS

Harmonic's financial benefits are an integral part of our "total pay" program that adds valuable enhancements such as stock options and pay for performance to the base pay of all of our employees. Some of the financial benefits we offer include:

401(k) Savings Plan
Harmonic offers a 401(k) savings plan to provide employees with a tax-deferred means to save for their futures. Harmonic's 401(k) savings plan offers over a dozen funds to choose from, ranging from capital preservation investments to individual brokerage accounts. Information about your account is readily available through online account administration with Schwab Plan Services.

Employee Stock Purchase Plan
Harmonic's Employee Stock Purchase Plan (ESPP) gives employees the opportunity to purchase common stock in Harmonic (NASDAQ: HLIT) at a price lower than market value. Employees may contribute up to 10 percent of their pay to the program. Purchase periods begin each calendar half and run for 6 months. At the end of the purchase period, shares are purchased at 85 percent of the lower of two prices: either the price of the stock on the first day of the purchase period or the price on the last day of the purchase period. This plan frequently provides immediate opportunity for financial gain to our employees.

Equity
Harmonic believes strongly in giving employees the opportunity to share in the company's success by offering restricted stock units and/or stock options to all employees. In line with our Pay for Performance programs, employees with high levels of performance are rewarded periodically with additional grants.

Pay for Performance
Harmonic recognizes exceptional talent through our Pay for Performance programs, which provide incentives for our employees to "shine and be rewarded in kind."

Employee Referral Bonus
Attracting top talent to Harmonic is a major priority, and we provide cash bonuses to Harmonic employees who refer candidates who become members of the company's talent team. Harmonic also sponsors employee referral contests during the year that feature cash and prizes.

Flexible Spending Accounts
Harmonic's Flexible Spending plan enables employees to set aside pre-tax dollars from their paychecks to pay for eligible out-of-pocket expenses during a plan year. By using pre-tax dollars to pay for health insurance premiums, eligible health care expenses or dependent care expenses you can reduce your taxable income significantly.

Life & AD&D Insurance
Harmonic provides group term life coverage and accidental death and dismemberment (AD&D) insurance to all employees. We also provide employees with the opportunity to purchase supplemental life insurance for themselves or for a spouse and dependents at group rates.

Long Term Care Insurance
Harmonic includes company-paid Long Term Care insurance in the core benefit plan for every employee, and also offers a valuable opportunity for employees to consider supplemental insurance for themselves or their loved ones

Travel & Accident Insurance
Harmonic provides business travel and accident insurance coverage at no cost to our employees. Employees and their families also receive travel emergency assistance for both business and personal travel.

Tuition Reimbursement
Harmonic places a high value on continuing growth and education. Our tuition reimbursement program provides coverage of tuition, lab fees, books and registration expenses to a calendar year maximum.

529 Collegeboundfund
Are you saving for college, for a dependent or for yourself? 529 Plans are tax-qualified investment programs offered to help families save for college, vocational, and technical higher education. Employees may invest through payroll-based direct deposit or by lump sum deposits. Since Harmonic is a corporate 529 sponsor, employees are offered transaction-free deposits, competitive rates, and a waiver of the $25 account management fee.

Credit Union
Technology Credit Union (Tech CU) is a full-service, state-chartered credit union with eight offices in the heart of California's Silicon Valley, serving technology workers and their families for over 40 years. WORK/LIFE BALANCE BENEFITS


We recognize that when you come to work, you don't check your personal life at the door. Harmonic's Work/Life Balance benefits are family-friendly resources designed to help you balance your personal, family and professional responsibilities. Some of the Work/Life Balance benefits we offer include:

Flexible Time Off
Harmonic provides employees with flexible time off (FTO) each year for sickness and personal needs as well as for periods of rest, recreation, change of environment and release from everyday activities. New employees with the company are eligible for 15 days of Flexible Time Off in their first year of employment.

Holidays
Harmonic observes 10 paid holidays per calendar year. Some holidays are fixed every year, but others are assigned to provide the greatest number of holidays in conjunction with weekends.

Fitness Center
Harmonic's on-site fitness center in Sunnyvale is equipped with state-of-the-art exercise equipment and shower facilities. The company also offers subsidized memberships with a nationwide chain of health clubs.

Public Transportation Benefits
Harmonic encourages the use of public transit by giving employees the opportunity to purchase transit and parking passes online each month. The tickets are mailed to our employees' homes, freeing them from standing in transit ticket lines. The company subsidizes a portion of the cost, up to $25 per month, and employees can pay for the remainder up to certain tax limits through a pre-tax deduction from their paycheck.

Employee Assistance Program
Harmonic offers an employee assistance program (EAP) to employees and their families that provides information, referral and short-term counseling for personal issues affecting work or personal life. Referrals are available for childcare services, legal consultations, older adult services and career management. The services are as broad as the kinds of problems people have. Through the support of the EAP, Harmonic sponsors regularly scheduled onsite workshops conducted by experts in work/life service areas.

HEALTH BENEFITS

Harmonic knows that one size does not fit all. We offer employees the flexibility to choose health benefit options that best meet their needs and those of their families. Harmonic pays most of the cost of premiums for employees and for spouse and dependent coverage. In an era of ever-escalating health care costs, Harmonic has managed to keep employee contributions at a significantly lower rate than industry averages. Our structure provides an opportunity for employees to make better choices, and pay only for coverage that is needed. Some of the benefits we offer include:

Medical
Harmonic offers multiple medical plan alternatives to best meet your needs, including a Health Maintenance Organization (HMO), Preferred Provider Organization (PPO), and Exclusive Provider Organization (EPO) plans. These plans offer a full range of medical services including non-traditional treatments such as acupuncture and chiropractic adjustments. Prescription drugs through pharmacies and via mail order with very low co-pays are offered with all of the plans.

Dental
Harmonic's dental plan covers most preventive, restorative and major dental procedures, including orthodontia for children through age 18. You aren't required to select from a specific network of dentists, but if you do select a network provider, the benefits may be higher.

Vision
Harmonic offers vision coverage to cover eye exams and the purchase of lenses and frames. This plan does not require you to select from a group of specific providers, but if you select from a network provider, the plan benefits may be higher.

Disability Insurance
Harmonic provides short and long-term disability insurance to ensure that you are paid while you are disabled and cannot work due to illness or injury. The amount received is based on the amount you earned before your disability began and the length of time that you are disabled. Employees also have the option of paying taxes on the company-paid long-term disability premium, which ensures a tax-free benefit, if a long-term disability event should ever occur.

Benefits and Wellness Fair
Harmonic hosts an annual benefits and wellness fair to promote the well being of our employees and their families. This event features blood pressure and diabetes testing, fat-to-lean body analysis, credit union and health club specials, travel companies, EAP, Costco, and other convenience benefit vendors, plus food, fun and valuable raffle gifts.
